THE SPINNING WHEEL GIVEAWAY RULES AND REGULATIONS

1. GIVEAWAY PERIOD

The Spinning Wheel Giveaway (the “Giveaway”) is run collaboratively by both Canada Beef/ThinkBeef.ca (the “Agency”) and BTI Brand Innovations (the “Administrators”) as the providers and operators of the Giveaway. Giveaway participation will be accepted from March 7, 2024 at 06:00 am Eastern Time (“ET”) to June 24, 2024 at 11:59 p.m. ET, (the “Giveaway Period”).

2. GIVEAWAY GROUP

For the purposes of the Giveaway, the “Giveaway Group” is composed of the Agency, together with its advertising and promotion agencies, suppliers of material and services related to the Giveaway, and any other corporation, partnership, sole proprietorship or other legal entity to the benefit of which this Giveaway is held, as well as their respective officers, directors, employees, agents, and other representatives.

3. ELIGIBILITY

The Giveaway is open to all individuals who: (a) reside in Canada outside of Quebec; and (b) have reached the age of majority in their province or territory of residence. Employees, agents and other representatives of the Giveaway Group, as well as any person with whom they reside, are not eligible to participate in the Giveaway. By participating in this Giveaway, you are signifying your agreement that you have read and agree to be legally bound by these official Giveaway Rules and Regulations (the “Rules”).

4. METHOD OF PARTICIPATION

4.1. No purchase is necessary to participate in the Giveaway.

To participate in the Giveaway, i.e. be a Participant, you must:

1. Visit the website https://thinkbeef.ca/. Upon visiting, a spinning wheel pop-up will appear, featuring a “Spin for a Chance to Win” Giveaway graphic with detailed instructions on how to participate.
2. To participate for your chance to win, you must spin the wheel for a prizing opportunity. To gain the opportunity to spin the wheel, you must provide your first and last name and your email address, and you must agree to the Rules & Regulations by checking the relevant box. After entering this information, click the “Try Your Luck” button to activate the wheel spin.
3. After clicking ‘Try Your Luck’, the wheel will spin and then will come to a complete stop, landing on one of the Wheel Panels. Some Panels are labeled ‘Retry Tomorrow’, meaning you did not gain an opportunity to win a Prize with your spin. If you land on a Panel that designates a Prize, then you are a Potential Winner of the Prize that is described on the Panel.

Each registered email address (Participant) is entitled to a limit of one (1) spin per day, and a limit of one (1) win in total of any of the Prizes during the Giveaway period. After a successful win spin, the Potential Winner will be contacted to go through the steps to become a Confirmed Winner. Once designated a Confirmed Winner, the Giveaway will no longer be open for participation by the Confirmed Winner.

4.2. If you opt to participate in this Giveaway via your wireless mobile device (which may only be available via participating wireless carriers), standard data rates may apply according to the terms and conditions of your services agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers’ rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges relating to your participation in this Giveaway. Mobile device service may not be available in all areas. Check your phone’s capabilities for specific instructions before participating via your wireless mobile device.

5. PRIZES:

The following Prizes (each, a “Prize”) are available to win during the Giveaway period.

There are a total of 16 individual Prizes available to be won through this Giveaway by 16 unique Participants:

1. Four (4) Beefy Prize Packs are available to be won by four (4) unique Participants who land on the Spinning Wheel Panel that states Beefy Prize Pack. The Beefy Prize Pack includes: 1 x Denim Apron, + 1 x Koozie® Hot and Cold Kooler, 1 x Carving Board, 1 x Digital Instant Read BBQ Thermometer, + 1 x White Matte Vinyl decal, + 1 x Swedish Dishcloth, + 1 x Stress Toy Cow, + 1 x 16-page Cookbook, + 1 x Laguiole Steak Knife Set (set of 6 knives).
   Approximate retail value is $245 CAD per each Beefy Prize Pack (link here for Prize visual).
2. Four (4) Carving Boards are available to be won by four (4) unique Participants who land on the Spinning Wheel Panel that states Carving Board.
   Approximate retail value is $45.95 each (link here for Prize visual).
3. Four (4) Full-Length Denim Aprons are available to be won by four (4) unique Participants who land on the Spinning Wheel Panel that states Denim Apron.
   Approximate retail value is $33.52 each (link here for Prize visual).
4. Four (4) Digital Instant Read BBQ Thermometers are available to be won by four (4) unique Participants who land on the Spinning Wheel Panel that states BBQ Thermometer.
   Approximate retail value is $16.82 each (link here for Prize visual).

There will be 4 Prizes available to be won each month (March, April, May and June 2024) consisting of: 1 x Beefy Prize Pack,1 x Carving Board, 1 x Full Length Denim Apron, and 1 x Digital Instant Read BBQ Thermometer). Once each of the 4 Prizes has been won (within each month) the spinning wheel will no longer land on that Prize Panel for the remainder of that month.

6. WINNER SELECTION/NOTIFICATION/ODDS OF WINNING:

NOTE – to be a qualified Participant, the Method of Participation must be completed as stated in Rule 4.1. NO ONE IS A CONFIRMED WINNER UNLESS AND UNTIL THE AGENT/ADMINISTRATORS OFFICIALLY CONFIRMS THE WINNER IN ACCORDANCE WITH THESE RULES.

The Spinning Wheel uses a randomizer function to stop once on one of the Wheel Panels including each of the four (4) Prize Panels within each month. Each potential winning Participant (Potential Winner) will receive an email confirming them as a Potential Winner. The steps outlined below are necessary to declare a Potential Winner as a Confirmed Winner. Note: Each Potential Winner will be blocked from being a Participant again until deemed a Confirmed Winner.

A representative of the Administrators acting reasonably, will make up to three (3) attempts to contact each Potential Winner (within and outside of business hours ET) within four (4) days immediately following the winning spin. Proof of identification must be provided upon request. A mathematical skill-testing question needs to be answered correctly, and a completed Declaration and Release document needs to be received by the Administrators, in order to be declared a Confirmed Winner.

In the event that the Potential Winner (a) cannot be contacted within four (4) business days after the winning spin, or if there is a return of notification as undeliverable; (b) fails to correctly answer the skill-testing question; (c) fails to return the properly executed Giveaway documents within the specified time; (d) cannot accept (or is unwilling to accept) the Prize (as awarded) for any reason; and/or (e) is determined to be in violation of these Rules (all as determined by the Agency in its sole and absolute discretion); then they will be disqualified. If a Potential Winner cannot be declared a Confirmed Winner, the Potential Winning Prize will be reactivated on the Spin Wheel to be available to be won once again until a Confirmed Winner of the Prize is declared.

ODDS OF WINNING: The odds of winning is 1.) limited to the number of Prizes allocated throughout the Giveaway period as stated in Rule 5, and 2.) will depend on the total number of Participants within the Giveaway Period each month and in total, and 3.) will depend on the random selection of the Spinning Wheel.

Limit one (1) Prize per Confirmed Prize Winner for the full Giveaway period.

7. AWARDING OF PRIZES

7.1. To be declared a “Confirmed Winner”, a Potential Winner must, in addition to meeting the Giveaway eligibility criteria and otherwise complying with the Giveaway Rules, first: be reached by email by the Administrators as set out above; have correctly answered a mathematical skill-testing question; sign and have completed the Declaration and Release documentation with Witness and returned it to naina@teambti.com within seven (7) days following the email delivery by the Administrators. The completed Declaration and Release document can be photographed or scanned and returned to naina@teambti.com.

7.2. Disqualification: If any one of the conditions mentioned in the Rules is not met, the Potential Winner will be disqualified from being deemed a Confirmed Winner, and will be blocked from participating for the remainder of the Giveaway period.

7.3. Delivery of Prize: Upon verification of the Confirmed Winner, the Administrators will send the applicable Prize to the Confirmed Winner by mail. Please allow four (4) to six (6) weeks for delivery. A Confirmed Winner hereby agrees to comply with all Prize delivery requirements and procedures that may be communicated to them by the Administrators, upon returning their signed Declaration and Release document (including, without limitation, requirements to provide a signature at the time of delivery). The Agency is not responsible for Prizes following shipping and shall not assume any liability for a lost, damaged or misdirected Prize.

8. GENERAL TERMS AND CONDITIONS

8.1. Verification of Participation: The validity of any Participation is subject to verification by the Agency. Any Participation that is illegible, incomplete, fraudulent or otherwise non-compliant with the Rules, will be disqualified. Any Participant or other individual who attempts to participate in the Giveaway in a manner that is contrary to these Giveaway Rules or that is otherwise disruptive to the proper operation of the Giveaway or by its nature is unjust to other Participants or potential Participants will be disqualified. All decisions made by the Agency or its representatives, including without limitation those concerning the eligibility or disqualification of Participants, are final and binding without right of appeal.

8.2. Acceptance of Prize: Prize must be accepted as described in these Giveaway Rules and cannot be returned, transferred to another individual, substituted for another Prize or exchanged in whole or in part for money, except as set out in Rule 8.3. All characteristics and features of each Prize, except as otherwise explicitly stated above, are at the Agency’s sole and absolute discretion. Each Confirmed Winner is solely responsible for all costs not expressly described herein.

8.3. Substitution of Prize: The Agency reserves the right, in its sole and absolute discretion, and for any reason whatsoever, to substitute for any Prize, or part thereof, another Prize of equivalent or greater value, including, without limitation, a cash award.

8.4. Number of Prizes/Winners: By entering the Giveaway, each Participant acknowledges that the Agency shall not be required under any circumstances to award more Prizes than the number of available Prizes, as set out in these Giveaway Rules. In the event that, for any reason whatsoever (including, without limitation, as a result of an error, malfunction or defect in the design, advertising, management, implementation or administration of the Giveaway, whether mechanical, electronic, human or otherwise) the number of declared winners or the number of Prizes claimed by Participants is greater than the number of Prizes available, the Agency reserves the right, in its sole and absolute discretion, to end the Giveaway in whole or in part, without notice.

8.5. Other Changes to Giveaway Rules: Without limiting the provisions of Rule 8.4 above, the Agency reserves the right, in its sole and absolute discretion, to modify, cancel, terminate or suspend the Giveaway, in whole or in part, in the event of any cause or circumstance, including, without limitation, any virus, computer bug or unauthorized human intervention or any other cause that is beyond the control of the Agency, that could corrupt or affect the administration, security, impartiality or normal course of the Giveaway. Without limiting the foregoing, the Agency reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Giveaway mechanics stipulated in these Rules, to the extent deemed necessary by the Agency, for purposes of verifying compliance of any Participants, Giveaway-Related Information and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Agency, in its sole and absolute discretion, affect the proper administration of the Giveaway as contemplated in these Rules, or for any other reason.

8.6. Release and Exclusion of Liability: By the Participants: By entering or attempting to participate in the Giveaway, each Participant and/or purported Participant agrees to release, discharge, and forever hold harmless the Giveaway Group and their respective shareholders, officers, directors, employees, agents, representatives, successors (the “Released Parties”)  and assigns the Released Parties a release from any and all claims, actions, damages, demands, manner of actions, causes of action, suits, debts, duties, accounts, bonds, covenants, warranties, indemnities, claims over, contracts and liabilities of whatever nature or kind arising out of, or in connection with the Participant’s participation or attempted participation in the Giveaway, compliance or non-compliance with these Giveaway Rules and acceptance and use or misuse of any Prize. Any Participant that gains a landing on a Prize Panel, and prior to being awarded a Prize, acknowledges that the Giveaway Group will not be held responsible for lost, incomplete, late or misdirected participation or for any failure of the Giveaway website, if applicable, during the Giveaway Period, or for any technical malfunction or other problems with, any telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software or for any technical problems or traffic congestion on the Internet or at any website, or any combination of the foregoing, and will not be liable for any resulting death, injury or damage to any person or property arising from, or relating to, that person’s or any other person’s participation or attempted participation in the Giveaway. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Giveaway is a violation of criminal and civil laws and, should such an attempt be made, the Agency reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

8.7. Personal Information: By entering this Giveaway, each Participant expressly consents to the Agency, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Giveaway and in accordance with Canada Beef’s privacy policies (available at https://canadabeef.ca/privacy-policy/). No communication unrelated to the Giveaway, commercial or otherwise, will be sent to the Participant by the Agency or Administrators. The Confirmed Winners’ names and city locations will be posted by the Agency on Canada Beef digital and social media platforms. This section does not limit any other consent(s) that an individual may provide the Agency or others in relation to the collection, use and/or disclosure of their personal information.

8.8. Identity of the Participant: For the purposes of these Giveaway Rules, the Participant is the person who is the holder of the email account used to participate in the Giveaway. It is to this individual that the Prize will be awarded if landing on a Prize Panel after a spin, and confirmed as a Confirmed Winner.

8.9. If it is discovered by the Agency (using any evidence or other information made available to or otherwise discovered by the Agency) that any person has attempted to: (i) exceed any of the limits stated in these Rules; (ii) use multiple names, identities, e-mail addresses and/or use any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or to disrupt the Giveaway; and/or (iii) disrupt or participate in the Giveaway in any other fraudulent or misleading way, then the Participant will be disqualified from the Giveaway in the sole and absolute discretion of the Agency. The Released Parties are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible Participation, Forms, and/or any other Giveaway-related information (collectively, “Giveaway-Related Information”), all of which are void. All Giveaway-Related Information and Participants are subject to verification at any time and for any reason. The Agency reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Agency – including, without limitation, government-issued photo identification) for any reason the Agency deems necessary, in its sole and absolute discretion, for the purposes of administering this Giveaway in accordance with the letter and spirit of these Rules.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and Disclosures or other statements contained in any Giveaway-related materials, including, but not limited to, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Agent, the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of Participants, the Agency or any of the other Released Parties in connection with the Giveaway will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein.
